Terms of Service

These Terms of Service (“Terms”) govern your use of Helmdesk, operated by Moloks Technologies (“we”, “us”, “our”). By creating an account or using the service, you agree to be bound by these Terms.

1. Service Description

Helmdesk is a multi-tenant operations platform that provides helpdesk ticketing, email gateway, and knowledge base functionality for developers managing multiple applications. The service includes a web dashboard, REST API, and Node.js SDK.

2. Account Responsibilities

You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials and API keys
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access to your account
  • Ensuring that your use of Helmdesk complies with applicable laws, including data protection regulations that apply to the data you process through the service

You must be at least 16 years of age to create an account. By creating an account on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to use Helmdesk to:

  • Send unsolicited bulk email (spam) or violate anti-spam laws
  • Transmit malware, phishing content, or harmful code
  • Harass, threaten, or abuse others
  • Violate any applicable law or regulation
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to other accounts or systems
  • Interfere with or disrupt the service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the service
  • Resell or redistribute the service without prior written consent

We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

4. API Usage and Rate Limits

Access to the Helmdesk API is subject to rate limits. Current limits are published in our API documentation and may be adjusted as the service evolves. We will provide reasonable notice before reducing rate limits for existing customers.

API keys are scoped to individual projects and must be kept confidential. You are responsible for all API calls made with your keys. If you believe a key has been compromised, revoke it immediately from the dashboard.

5. Intellectual Property

Your data: You retain all ownership rights to the content you create, upload, or process through Helmdesk, including support tickets, email templates, knowledge base articles, and customer data. We do not claim ownership of your data.

Our service: Helmdesk, its design, code, documentation, and branding are the intellectual property of Moloks Technologies. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

License to operate: You grant us a limited license to process your data solely for the purpose of providing the service, including AI features you opt into.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. Helmdesk is currently in beta and is provided on a best-effort basis with no formal Service Level Agreement (SLA).

We may perform scheduled maintenance with advance notice when possible. We are not liable for downtime caused by factors outside our reasonable control, including third-party service outages, network issues, or force majeure events.

7. Limitation of Liability

To the maximum extent permitted by law, Moloks Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the service.

Our total liability for any claim arising from these Terms or your use of the service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or CAD $100, whichever is greater.

The service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8. Termination

You may terminate your account at any time by deleting it from the account settings page. Upon termination, your data will be permanently deleted within 30 days.

We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if we are required to do so by law. In cases of non-critical violations, we will attempt to notify you and provide an opportunity to remedy the issue before termination.

Upon termination, your right to use the service ceases immediately. Sections regarding intellectual property, limitation of liability, and governing law survive termination.

9. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes at least 14 days in advance by email or by posting a prominent notice on the service. Your continued use of Helmdesk after the effective date of updated Terms constitutes acceptance. If you do not agree with the changes, you may terminate your account before the new Terms take effect.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
